Terms of Service

The agreement governing your use of Trybb, operated by NeoHouse Creative Technologies Ltd.

Effective Date: 1st July 2026

1. Corporate Information

Trybb is owned and operated by NeoHouse Creative Technologies Ltd. ("NeoHouse," "Trybb," "we," "us," or "our"), a company incorporated under the laws of the Federal Republic of Nigeria, with its registered office at Plot 145 Haz Ewendi Street, Kuje, Abuja.

2. Definitions

  • "Platform" or "Services" means the Trybb mobile applications, website, APIs, and related services.
  • "User," "you," or "your" means any person who accesses or uses the Platform.
  • "Content" or "User Content" means text, images, video, audio, reviews, events, and any other material submitted to the Platform.
  • "Tribe" means a community group feature within Trybb.
  • "Organizer" means a User who creates or manages an event on the Platform.
  • "Vendor" means a User who offers goods or services for sale through the Platform.
  • "Reputation Score" means the trust or engagement score computed by Trybb.
  • "Terms" means this Terms of Service, together with all policies incorporated by reference, including the Privacy Policy, Community Guidelines, Event Organizer Terms, Vendor Terms, Payment & Refund Policy, and Copyright/IP Policy.

3. Acceptance of Terms

By creating an account, clicking "I Agree," or otherwise accessing or using Trybb, you enter into a legally binding agreement with NeoHouse. If you do not agree to these Terms, you must not access or use the Platform. Your acceptance constitutes a valid electronic signature and agreement under applicable electronic transactions law.

We may update these Terms from time to time. Material changes will be notified through the Platform or by email at least 7 days before taking effect, unless a shorter period is required to address a legal or security issue. Continued use of Trybb after changes take effect constitutes your acceptance of the updated Terms.

4. Eligibility

You must be at least 13 years old, or the minimum age of digital consent in your jurisdiction (whichever is higher), to create a Trybb account. If you are under the age of majority in your jurisdiction, you may only use Trybb with the involvement and consent of a parent or legal guardian, where required by applicable law. By using Trybb, you represent that you meet these eligibility requirements, that you have the legal capacity to enter into this agreement, and that your use of the Platform does not violate any law or regulation applicable to you, including restrictions arising from your jurisdiction of residence.

5. Accounts

5.1 Registration and Verification

You must provide accurate, current, and complete information when registering and must keep this information up to date. We may require identity verification for certain features, such as event ticketing, vendor sales, or reputation-related functions.

5.2 Account Security

You are responsible for maintaining the confidentiality of your password and account credentials and for all activity that occurs under your account. You must notify us immediately at hello@neohouse.tech of any unauthorized use of your account.

5.3 Multiple Accounts and Impersonation

You may not create multiple accounts for deceptive or abusive purposes, nor impersonate any person or entity, nor misrepresent your affiliation with any person or entity.

6. Acceptable Use

You agree not to use Trybb to engage in, facilitate, or promote any of the following, without limitation:

  • Fraud, scams, phishing, or deceptive practices;
  • Harassment, bullying, threats, hate speech, or discrimination;
  • Spam, unsolicited advertising, or inauthentic engagement;
  • Fake reviews, fake events, or manipulation of the Reputation Score;
  • Money laundering, terrorism financing, or other illegal financial activity;
  • Child sexual abuse material or any content that endangers minors;
  • Infringement of intellectual property or other proprietary rights;
  • Use of bots, scraping tools, or other automated means to access the Platform without authorization;
  • Reverse engineering, decompiling, or attempting to derive the source code of the Platform;
  • Sharing or selling account credentials, or buying and selling accounts;
  • Creating false identities or engaging in coordinated inauthentic behavior;
  • Illegal fundraising or solicitation;
  • Cryptocurrency scams, market manipulation, or unregistered securities offerings;
  • Distribution of malware, viruses, or other harmful code; and
  • Any activity that violates applicable law.

We reserve the right to investigate and take appropriate action, including content removal, feature restriction, suspension, or termination, against any User who violates this section.

7. User-Generated Content

7.1 Ownership

You retain ownership of the intellectual property rights in the Content you submit to Trybb.

7.2 License Granted to Trybb

By submitting Content, you grant NeoHouse a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to host, store, use, reproduce, modify, adapt, publish, translate, distribute, and display such Content in connection with operating, promoting, and improving the Platform. This license continues for as long as necessary to provide the Services and ends when you delete the Content or your account, except to the extent the Content has been shared with others and they have not deleted it, or to the extent retention is required for legal, safety, or backup purposes.

7.3 Moderation and Removal Rights

We may, but are not obligated to, review, moderate, remove, or restrict access to any Content that we believe violates these Terms, our Community Guidelines, or applicable law, without prior notice, at our reasonable discretion.

7.4 Backups, Archiving, Reporting, and Appeals

We may retain backup copies of Content for legal, safety, or operational purposes even after deletion from the Platform. Users may report Content that violates our policies, and Users whose Content is removed or whose account is restricted may appeal the decision through the process described in our Trust & Safety Policy.

8. Reviews

By submitting a review, you warrant that it is truthful, based on your genuine experience, non-defamatory, non-harassing, and lawful. You must not submit fake reviews, paid reviews not disclosed as such, or reviews intended to extort, blackmail, or manipulate an Organizer, Vendor, or other User. We reserve the right to remove reviews that violate this section and to take enforcement action against repeat offenders.

9. Reputation System

Trybb computes a Reputation Score to help Users assess trust and engagement within the community. You acknowledge that:

  • the scoring methodology may be updated from time to time;
  • we do not guarantee the accuracy, completeness, or fairness of any Reputation Score;
  • points and scores may change without prior notice;
  • you do not own or have a proprietary interest in your Reputation Score; and
  • we may suspend, reset, or adjust scores where we detect fraud, manipulation, or abuse.

10. Tribes

Users may create or join Tribes (community groups). Tribe creators and administrators ("Tribe Admins") are responsible for setting and enforcing community-specific rules that do not conflict with these Terms. Trybb retains the right to remove any Tribe, Tribe Admin, or Tribe content that violates these Terms, regardless of Tribe-specific rules, and to moderate Tribes at its discretion.

11. Events

Organizers are solely responsible for the accuracy of their event listings, compliance with venue, licensing, health and safety, insurance, and tax obligations, and for the conduct of their events. Trybb is not responsible for the conduct of Organizers, attendees, or third parties at any event, whether held in person or online. Organizers are solely responsible for cancellations, postponements, and refunds in accordance with the Payment & Refund Policy, except where Trybb expressly agrees otherwise in writing. Neither NeoHouse nor Trybb shall be liable for events cancelled, delayed, or affected due to force majeure events as described in Section 27.

12. Ticketing

Where Trybb facilitates the sale of digital tickets, tickets are subject to the refund rules set out in our Payment & Refund Policy and any additional terms set by the Organizer, to the extent not inconsistent with this section. Users are responsible for any chargebacks initiated in bad faith and for applicable taxes on ticket purchases. Prices may be displayed in multiple currencies; the currency and amount charged at checkout is final. Trybb may charge platform commissions and service fees, which will be disclosed prior to purchase.

13. Vendors

Vendors are independent third parties responsible for the legality, safety, and quality of the products or services they list, compliance with applicable consumer protection law, applicable taxes, shipping and fulfilment, and handling of refunds and disputes with buyers, except to the extent Trybb expressly assumes such responsibility in the Vendor Terms. Trybb may assist in dispute resolution but is not a guarantor of any transaction between a Vendor and a buyer.

14. Messaging

Messages sent through Trybb are subject to the protections described in our Privacy Policy; beyond those protections, you should not expect complete privacy in messaging, as we may access, review, or disclose message content and metadata where necessary to operate the Platform, detect spam, fraud, or abuse, enforce these Terms, or comply with law. You may report abusive or inappropriate messages through the in-app reporting tools.

15. AI Features

Trybb may incorporate artificial intelligence and machine learning features, including recommendations, content moderation tools, chat assistance, and Reputation Score computation. These features are provided "as is" and may not always be accurate. You should not rely solely on AI-generated output for decisions with legal, financial, health, or safety consequences. We may use aggregated or de-identified data to train and improve these features, consistent with our Privacy Policy.

16. Web3 and Digital Assets (Future-Proofing)

Trybb may, in the future, introduce features involving blockchain technology, digital wallets, tokens, or cryptocurrency payments. If and when such features are introduced, additional terms will apply and will be presented to you for acceptance before use. You acknowledge that:

  • digital assets can be volatile and carry inherent risk;
  • you are solely responsible for safeguarding your private keys and wallet credentials;
  • Trybb is not responsible for losses arising from lost credentials, network failures, or third-party wallet or exchange issues;
  • gas fees and network fees are outside Trybb's control;
  • nothing on the Platform constitutes investment, financial, or legal advice; and
  • you are solely responsible for complying with applicable laws and regulations governing digital assets in your jurisdiction.

17. Intellectual Property

The Trybb name, logo, application, and underlying software, together with all associated trademarks, copyrights, patents, and trade secrets, are the property of NeoHouse Creative Technologies Ltd. or its licensors. Except for the limited license to use the Platform as intended, nothing in these Terms grants you any right, title, or interest in Trybb's intellectual property. If you submit feedback, suggestions, or ideas about the Platform, you grant NeoHouse an unrestricted, royalty-free, perpetual license to use them without obligation to you. Any open-source components used within Trybb are governed by their respective licenses, copies of which are available on request.

18. Platform Availability

We aim to keep Trybb available and reliable but do not guarantee uninterrupted or error-free operation. The Platform may be unavailable from time to time due to maintenance, updates, beta testing of new features, or circumstances beyond our control. We do not provide any uptime guarantee unless separately agreed in writing.

19. Third-Party Services

Trybb integrates with or relies on third-party services such as maps, payment gateways, SMS and email providers, authentication providers, and cloud hosting providers. Your use of such third-party services may be subject to their own terms and privacy policies, and NeoHouse is not responsible for the acts or omissions of these third parties.

20. Payments

Where the Platform involves payments, subscriptions, or in-app purchases, you agree to pay all applicable fees and taxes. Payments are processed by third-party payment processors, and you agree to their applicable terms. Failed payments may result in suspension of related features. Refunds and chargebacks are governed by our Payment & Refund Policy. Prices may be displayed in the currency applicable to your region and may be subject to change with notice.

21. Suspension and Termination

We may investigate, suspend, or terminate your account or access to any feature, with or without notice, if we reasonably believe you have violated these Terms, applicable law, or our other policies, or where necessary to protect the Platform, other Users, or third parties. You may also delete your account at any time through the app settings. Sections of these Terms that by their nature should survive termination (including intellectual property, indemnification, disclaimers, limitation of liability, and governing law) will survive. Users may appeal suspension or termination decisions in accordance with our Trust & Safety Policy.

22. Indemnification

You agree to defend, indemnify, and hold harmless NeoHouse Creative Technologies Ltd., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

  • your access to or use of the Platform;
  • your Content;
  • your violation of these Terms;
  • your violation of any law or third-party right;
  • your conduct at or in connection with any event;
  • any transaction, review, or communication you engage in through the Platform; and
  • any misrepresentation you make on the Platform.

23. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, EXCEPT TO THE EXTENT SUCH WARRANTIES CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

24. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEOHOUSE CREATIVE TECHNOLOGIES LTD. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF ₦50,000 OR THE AMOUNT YOU PAID TO NEOHOUSE IN THE TWELVE MONTHS PRECEDING THE CLAIM. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR FRAUD OR WILFUL MISCONDUCT.

25. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-laws principles, except where mandatory local consumer protection law requires the application of the law of the User's country of residence. Subject to applicable mandatory law, the courts of Nigeria shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms, or the parties may elect to resolve disputes through binding arbitration in accordance with the Arbitration and Mediation Act 2023 (or successor legislation), seated in Abuja, Nigeria, with proceedings conducted in English.

26. Users Outside Nigeria

If you access Trybb from outside Nigeria, you do so on your own initiative and are responsible for compliance with local law, to the extent applicable. Certain mandatory consumer protection rights in your country of residence may apply to you regardless of the governing law clause above and are not affected by these Terms.

27. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms resulting from circumstances beyond its reasonable control, including pandemics, war, civil unrest, cyberattacks, government restrictions, natural disasters, or internet or telecommunications failures.

28. Changes to the Platform and Terms

We may modify, suspend, or discontinue any part of the Platform at any time. We may also update these Terms as described in Section 3. Material changes will be notified in advance where reasonably practicable.

29. General Provisions

29.1 Entire Agreement

These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and NeoHouse regarding the Platform and supersede any prior agreements.

29.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

29.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

29.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

29.5 Relationship of the Parties

Except where expressly stated, Trybb is a technology platform that connects Users, Organizers, and Vendors, and is not a party to agreements formed between Users through the Platform. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and NeoHouse.
